I had a shoofti at some of Law Depot's stuff, and it smelled of an AI patch-up job. The way to do any kind of agreement is for both/all sides to write down in bullet points what you want in that agreement and take it to a lawyer who specialises in commercial contract law. He/she/it/they will box that into an agreement and put in a whole load of other stuff you will have missed or didn't know you had to worry about.LawDepot's Shareholder Agreement is poor. Firstly despite some attempts to localise (pound sterling sign) it still wants to know which State you live in and talks of corporations rather than companies which apparently have 'by-laws'. It gives as main intention to remove powers from the Directors and give more power in running the business to the shareholders! Lumps mediation and arbitration as the same resolution solution, breaching the fundamental principle of mediation being that the mediator, unlike the arbitrator does not determine the outcome. Lots missing such as providing a forced share offering by departing shareholders. could go in but I won't
I must apologise for all the bad links in this thread. However for details of my Zoom talk on negotiation strategy with free Shareholders Agreement the correct link is in my signature below. This event looks to cover a lot of important ground for anyone either starting out or having issues I say get over there and book your spot.
