How to find an Amazon distributor in the USA?

We are a brand that sells online, mainly via Amazon across UK and Europe. We want to expand into Amazon US, but I don't have the stomach or the funds for setting it up ourselves right now. I would prefer to sell wholesale to an American distributor, willing to take ownership of the goods from the factory in India and handle imports, warehousing, Amazon sales and advertising themselves.

Our brand has value as we have 1000s of 5* reviews on Amazon, which would carry over to the US marketplace.

Does anyone have experience with finding such a partner? A quick google was unsuccessful and would love to hear from voices of experience. Thanks!

Hi,
I am planning on retiring from my business and have someone interested in buying my stock and machinery and setting up a new Ltd company, but running the business from my premises which will be rented by way of lease , I have wound things down and only employe 2 staff , if the staff go to work for the new company do they have to be transferred under Tupe or can I make them redundant and then the new company take them on as employees under a new contract etc
This is all new to me so any advice is welcomed thankyou.

Should i resign as director.

I'm currently a co director at a business i started with my ex partner. For all intent purposes I have been just a way to get the start up funding. I've had no decision making authority and have no access to the bank accounts.

I now can see that the business is not doing well as I was asked to co sign a loan to pay debts. Having asked more there is a lot of debt that has mounted and bailiffs have been involved.

I want to end my involvements I no longer trust that my ex partner is running things well and no longer want to be associated. But I am owed close to 20k in directors laons that I know I may now lose. What should I do?

Do these figures seem reasonable?

I'm trying to determine a specific market campaign's conversion rate.

From a bit of Googling, it seems that 4.4% is the average conversion rate for Google AdWords, which I must admit sounds pretty low. I was working off the assumption 7.5% to 10% would be more accurate, and that landing page conversion rates would sit somewhere between 5% and 10%.

What numbers do you generally make use of? I'll be optimising ads and landing pages myself.

Dissolved company and self assessment

I have quite a complex issue I’ve been trying to resolve here with some corp and VAT taxes due.

I had a ltd company that was struck off due to not filing confirmation statement (I never asked for it to be struck off), and without filing of accounts, which to my own fault was late. It had never filed any VAT or corp taxes of which it was registered for. The company had not traded for some time..

I am now being asked to do my self assessment, however I transferred funds to my personal account and this money would be money that would have been owed to the company for VAT and Corp taxes.

How should I proceed with my self assessment? I assume all money that went from the company to me would now just have to be included on my self assessment? Or should I look at bringing the company back to life to sort the books?

We are planning to set up an LTD company in the UK. Business activity: an online service mainly providing design content and software.

We are carefully reviewing all the laws and regulations published by HMRC and FCA that might apply to our business activity, but still not completely sure on whether we are obligated to register with HMRC and FCA or not for any kind of license/supervision (Money Laundering Supervision, Payment Institution, Electronic Money Institution)

Activities that our business is interested in::

  1. Making transfers from the company corporate bank accounts to foreign contractors (individuals, individual entrepreneurs, companies). (If this depends on the countries of foreign/non-EEU contractors, could you kindly inform us?);
  2. Receiving payments from foreign companies (for instance, from U.S., Hong Kong) and acting as ‘a customer in this case’;
  3. Making transfers to cryptocurrency exchanges and then to some of foreign contractors
As far as we understand from official documents, the mentioned above business activities are not obligated to have any licenses. But we would be very glad if anyone could clarify this.

how do i find out outcome of court

Hi i had a summons to go to court to represent ltd company. I am no longer director and there is no directors in place. I can't represent the company when i am no longer associated with it, i am off on long term sick and on medication. there is no longer a solicitor involved as no company rep to direct them, so they came off the case. I contacted pps regarding this. it was up in court for mention but i am wondering is it possible i can find out the outcome? the judge said on the last day that pps need to reconsider pushing this case as the company hasn't traded in over 1 year, no money in business, no staff etc so effectively he said no business. i'm just curious when it was up for mention did the judge throw it out of court?

no directors in place what happens in legal matter

hi i resigned as director of ltd company due to a company going into liquidation owing us money - my health went downhill i just wasn't able to continue on. I was able to pay all debts . filed for voluntary strike off but the company that is taking us to court put an objection in. can a case still be taken to court if there are no company directors and non trading. no money in the company. there will be no company representative in court . does anyone have any info on this situation.

I need to register for the UK and EU VAT MOSS scheme. That is OK but reading the business requirements here:


The requirements are pretty complex as you have to tailor your service to each EU member state which is impossible for a UK-based small service-orientated business that works solely online.

I must be missing something simple here. If someone could help me out, I would appreciate it.

Capital Gains Tax on transfer of Buy-to-Let to a Company

Some private landlords are considering transferring their properties to a company. This will give rise to Capital Gains Tax and SDLT. I wonder if my understanding of the application of CGT is correct.

This year, I have an annual exemption of £12,300, which is being cut to £6,000 for the tax year 2023/24.

The rate of tax is at 18% or 28% depending on other taxable income.

So, my question is, can I transfer to the Company 50% of the property now, and 50% of the property in the new tax year?

If so, I will be able to use my annual exemption for both tax years. And, due to the application of the 18/28% rates, there appears to be a significant saving in CGT.

Is Rent paid in a rent-to-rent agreement tax deductible?

I am considering renting a friends flat under a management agreement that will allow me to market it as a short term let (holidays, airbnb etc). We have agreed most things and ticked all the boxes with insurance, lease restrictions etc. I cannot find out on the internet if the rent I pay to my friend (I mean landlord!) is an allowable expense to offset against the turnover. I am a sole trader with one property already on STL market (via Airbnb) and that is classed as a Furnished Holiday Let for tax purposes. The mortgage payments are tax deductible. Will my rent payments on prop 2 be tax deductible/allowable expense? Many thanks

terms and conditions regarding late delivery

I work for an online company and we sell parts. Due to the royal mail strikes, we have numerous customers complaining about late delivery. Even our courier service have backlogs due to the increase in customers. We have notices on our website asking to understand that parcels may be delayed due to backlogs etc... However we have had customers threaten legal action. If we add into our terms and conditions that the advised delivery times are not guaranteed and we will not be liable for parcels delivered a few days out of the expected date, if customers select 'I agree.' do we still have to give them a full refund for their delivery, or refund the difference between premium delivery and normal.

I'm writing a business plan at the moment, and I'm wondering what a reasonable estimate would be for a website to earn per page view. The idea is to use Google Adsense as one income stream, and I'd like to ensure my financial information is as accurate as possible.

On the same subject, is Google Adsense still the best way to advertise your website, or are there other advertising networks that perform better?

Insolvency and Poor Health

Hi everyone,

My business has evidently became insolvent. My mental health is extremely poor. I also have been diagnosed with autism in the past year. I'm now preparing to close up shop pretty much immediately. The company cannot pay its debts.

I have no money for solicitors and no support. My company owes around 50k total to various creditors. I'm a sole director and I have a separate shareholder on board (my ex).

It's too long winded to express in this post but my only option is compulsory liquidation through the courts. My ex has refused to allow the company to liquidate through a CVL and I needed him to vote for it to legally proceed.

I just don't know if I can face what's coming. My mental health is poor and deteriorating and being autistic really makes things difficult when it comes to reading through legislation and trying to sort this.

I have 14 members of staff and they all need their redundancies so I cannot do the spongebob plan. My ex doesn't much care about making things difficult for them to get their redundancies but is enjoying making things more difficult for me unfortunately.

Does anyone have any advice for a Director with autism, deteriorating mental health and navigating the courts and official reciever interviews without a solicitor? He will likely try to muddy this up as much as he can at hearings and continue to oppose the business closing down wherever he can. Im expecting wild accusations when my conduct is investigated. Ill be able to quash anything regarding my conduct but i dont know if I can face the fight of it all. The thought of seeing him at hearings which I've read he is able to be heard at is making me incredibly anxious and I haven't even applied to the courts yet. I just don't think I can do it.

Is my mental health something I should make the court aware of or will this likely make things worse for me regarding director capacity?

Sorry I know this is a lot. Thank you for taking the time to read. Some information may be vague but I can't provide much more as I'm genuinely worried about him seeing this. I hope that is okay.

Do we pay full notice period upon dismissing employee (<2 yrs, on account of poor performance)

Hi - our employee who is with us <6 mths is performing poorly and we will soon take them through a formal PIP shortly. #

My question is assuming they do not pass the PIP are we obliged to pay their contractual 3 months notice period OR as this is still <2 years under UK law is there another option?

Note we're aware that we don't necessarily need to go through a full fledged PIP process but are keen to ensure their a 'fair' process so in the event they don't pass a 4-6 week process are we able to exit them immediately and/or pay like 1 month or 6 weeks instead of the 3 months... (we may still align to the 3 months but just keen to know what is obligatory, or not).

Your advice appreciated.
