no directors in place what happens in legal matter

hi i resigned as director of ltd company due to a company going into liquidation owing us money - my health went downhill i just wasn't able to continue on. I was able to pay all debts . filed for voluntary strike off but the company that is taking us to court put an objection in. can a case still be taken to court if there are no company directors and non trading. no money in the company. there will be no company representative in court . does anyone have any info on this situation.

I need to register for the UK and EU VAT MOSS scheme. That is OK but reading the business requirements here:


The requirements are pretty complex as you have to tailor your service to each EU member state which is impossible for a UK-based small service-orientated business that works solely online.

I must be missing something simple here. If someone could help me out, I would appreciate it.

Capital Gains Tax on transfer of Buy-to-Let to a Company

Some private landlords are considering transferring their properties to a company. This will give rise to Capital Gains Tax and SDLT. I wonder if my understanding of the application of CGT is correct.

This year, I have an annual exemption of £12,300, which is being cut to £6,000 for the tax year 2023/24.

The rate of tax is at 18% or 28% depending on other taxable income.

So, my question is, can I transfer to the Company 50% of the property now, and 50% of the property in the new tax year?

If so, I will be able to use my annual exemption for both tax years. And, due to the application of the 18/28% rates, there appears to be a significant saving in CGT.

Is Rent paid in a rent-to-rent agreement tax deductible?

I am considering renting a friends flat under a management agreement that will allow me to market it as a short term let (holidays, airbnb etc). We have agreed most things and ticked all the boxes with insurance, lease restrictions etc. I cannot find out on the internet if the rent I pay to my friend (I mean landlord!) is an allowable expense to offset against the turnover. I am a sole trader with one property already on STL market (via Airbnb) and that is classed as a Furnished Holiday Let for tax purposes. The mortgage payments are tax deductible. Will my rent payments on prop 2 be tax deductible/allowable expense? Many thanks

terms and conditions regarding late delivery

I work for an online company and we sell parts. Due to the royal mail strikes, we have numerous customers complaining about late delivery. Even our courier service have backlogs due to the increase in customers. We have notices on our website asking to understand that parcels may be delayed due to backlogs etc... However we have had customers threaten legal action. If we add into our terms and conditions that the advised delivery times are not guaranteed and we will not be liable for parcels delivered a few days out of the expected date, if customers select 'I agree.' do we still have to give them a full refund for their delivery, or refund the difference between premium delivery and normal.

Reasonable advertising income estimate?

I'm writing a business plan at the moment, and I'm wondering what a reasonable estimate would be for a website to earn per page view. The idea is to use Google Adsense as one income stream, and I'd like to ensure my financial information is as accurate as possible.

On the same subject, is Google Adsense still the best way to advertise your website, or are there other advertising networks that perform better?

Insolvency and Poor Health

Hi everyone,

My business has evidently became insolvent. My mental health is extremely poor. I also have been diagnosed with autism in the past year. I'm now preparing to close up shop pretty much immediately. The company cannot pay its debts.

I have no money for solicitors and no support. My company owes around 50k total to various creditors. I'm a sole director and I have a separate shareholder on board (my ex).

It's too long winded to express in this post but my only option is compulsory liquidation through the courts. My ex has refused to allow the company to liquidate through a CVL and I needed him to vote for it to legally proceed.

I just don't know if I can face what's coming. My mental health is poor and deteriorating and being autistic really makes things difficult when it comes to reading through legislation and trying to sort this.

I have 14 members of staff and they all need their redundancies so I cannot do the spongebob plan. My ex doesn't much care about making things difficult for them to get their redundancies but is enjoying making things more difficult for me unfortunately.

Does anyone have any advice for a Director with autism, deteriorating mental health and navigating the courts and official reciever interviews without a solicitor? He will likely try to muddy this up as much as he can at hearings and continue to oppose the business closing down wherever he can. Im expecting wild accusations when my conduct is investigated. Ill be able to quash anything regarding my conduct but i dont know if I can face the fight of it all. The thought of seeing him at hearings which I've read he is able to be heard at is making me incredibly anxious and I haven't even applied to the courts yet. I just don't think I can do it.

Is my mental health something I should make the court aware of or will this likely make things worse for me regarding director capacity?

Sorry I know this is a lot. Thank you for taking the time to read. Some information may be vague but I can't provide much more as I'm genuinely worried about him seeing this. I hope that is okay.

Do we pay full notice period upon dismissing employee (<2 yrs, on account of poor performance)

Hi - our employee who is with us <6 mths is performing poorly and we will soon take them through a formal PIP shortly. #

My question is assuming they do not pass the PIP are we obliged to pay their contractual 3 months notice period OR as this is still <2 years under UK law is there another option?

Note we're aware that we don't necessarily need to go through a full fledged PIP process but are keen to ensure their a 'fair' process so in the event they don't pass a 4-6 week process are we able to exit them immediately and/or pay like 1 month or 6 weeks instead of the 3 months... (we may still align to the 3 months but just keen to know what is obligatory, or not).

Your advice appreciated.

Any companies here with own created ****** assets?

Hi guys,

I am new on the forum and just established a UK ltd company. I was just wondering if any UK companies on here have their own ****** assets like a utility token? I am thinking about raising funds for my video game development company through a utility token, the tokens can be used to purchase in-game products.

Utility tokens of this type are classed as unregulated by the FCA because they are not security tokens or selling shares. I am not sure even though the token is unregulated if I have to register for AML? The FCA documents are very confusing and when I started researching on google it conflicted with some people saying yes you need to register for AML and others saying no because the token is unregulated.

Hopefully I can find someone on the business forums who has created an unregulated fund raising token for a project themselves as they would probably know the answer to the question. I have emailed FCA but its been 7 days and not got a reply from them.

So far I have had abuse, spammers and no answers from the other forums I hope this forum is a serious and helpful one without attacking people asking a serious legitimate question.

I look forward to many discussions on here in near future :)

Trademark guidance: First examination response - Similar trademark. What to do?

Hello everyone,

I recently applied for the brand name "SHAPECRUNCH" to be trademarked.
However, I got a response from Intellectual Property Office, UK that :
"I have searched the relevant trade mark registers and found an earlier trade mark that I think you should be aware of. My initial view is that your trade mark and your goods are similar to the earlier trade mark and their goods. Therefore the public are likely to confuse your trade mark with the earlier trade mark."

The earlier trademark is
THE CRUNCH

"I am not refusing to accept your application because of the earlier trade mark."

I don't get it how can people get confused with Shapecrunch and the crunch?

I have established a business in another country and I am new to the UK. Don't have enough money for an attorney. I would be grateful if someone can tell me whether I should proceed.

Business Rates Valuation

We have recently moved into new premises (warehouse & offices) with a rateable value of £17,000.

The previous tenants used the space differently to us (well it was actually a Cannabis factory, but that's a different story!) and we are using most of the offices for product storage rather than as offices. We are also subletting a mezzanine office to help with the rent costs.

We need to look at a rate revaluation, but it seems like a complete minefield. Can anyone recommend a company that can do it on our behalf or should we attempt to do it ourselves? Do the VOA frown upon third party companies getting involved?

Hospitality Businesses Considering Closure

I own four separate Ltd companies. One of which is a manufacturing business acting as a key supplier to three hospitality sites. The manufacturing business is viable and supported by shareholders. I'm considering closing two hospitality sites as the level of profitability is no longer worth it in the current climate.

The manufacturing co is a majority shareholder of all the hospitality Limited companies but the shareholdings are slightly different at each location.

I don't completely understand how closing these would impact the manufacturing business as the majority shareholder. We have a time to pay agreement at each site with HMRC as well as a bounceback loan without enough cash assets to pay them in full on closure so we may need to liquidate the companies.

Would that be problematic for company that is the majority shareholder?

Options as I see them
1. Liquidate the companies leaving only HMRC as creditors providing it isn't problematic for majority shareholding co

2. Write off any intercompany debt resulting in a positive net asset position and potentially sell the businesses (lease permitting)

Any advice would be greatly appreciated.

Close Hospitality Ltd Company

I have a hospitality business which has been hit and not really recovered from the
COVID lockdown. Now one of my electricity providers has increased my monthly bill by just short of 2000%. I am in dispute with them but to be honest have lost the will to
continue with the business. I am a limited company with just this electricity bill some HMRC debt and a BBL. What is my best way to close the Company and how do I proceed with the BBL? Ideally i’d like to be closed by the end of December .

How to add more insurance products to an existing panel of insurers ?

I am looking for any advice on how we could increase our panel of insurers to offer alot more competitive prices and offer some new insurance products. We specialise in home insurance and are based in Leeds, we are directly authorised by the FCA and have been for a number of years. We was looking to take on Taxi insurance and also expand our existing insurance panel to offer our customers some better rates. Does this sound like a stupid idea?

First of all, I have zero intention of pursuing this idea. It is not an area of expertise, and I couldn't afford to start even if I did have the expertise. I would be interested in hearing what people thought of the idea though.

The idea is that you install solar panels for free in every house. The residents/homeowner/landlord would then have their electricity bills paid for by solar power. If the solar power does not cover the bill, the homeowner must top it up with the energy company. If the solar power exceeds what was used, your company collects the excess instead of refunding the excess to the homeowner, and that is how the company makes money. You'd be making money on the underutilisation of solar panels.

End of business partner relationship

Hi there,

im looking for some advice and possibly someone who could point me in the right direction for my needs. Ill try to be to the point. I have been in buisness for roughly 6 years with another partner. The working relationship has pretty much broken down so I'm looking at potential legal options now but I don't know where to start and what rights I even have to be honest. ill try and get to the main issues and see if there's anyone that can advise possible outcomes.

Me and my business partner have (stupidly) never had any contracts between us in regards to the business. We have always worked on a gentleman's agreement and split any profits between us. We have tried many different ways to resolve the issues but sadly we cannot come to an agreement on certain key issues. How would a business partnership be settled legally without any contracts between the 2 parties? We have both openly expressed that we will start looking at legal options now.

The first issue I have is that me and this gentleman have a business premises that we work from. My name is on the business premises and my business partners name is not as I put the deposit down initially for the unit so I have been liable for the duration of this tenancy. Would my business partner have any legal rights to contest me carrying on working from this premises if for instance we decided to stop working together or the buisness in its current incarnation came to an end?. He has keys/access to the unit so would changing the locks etc be a problem?

Any advice would be greatly appreciated as I don't have a clue where to start with this and ideally would not like to start spending vast amounts of money that I don't have on legal fees etc. Happy to answer any follow up questions if needed.
