Directors Address Clarity

Hi all,

I'm living and working overseas but incorporating a small part time consultancy business in the UK soon.

I'm using a London registered office address for the face of the business.

For directors address details am I able to put down my UK address or my girlfriends address rather than my overseas address (where I permanently reside)?

Are there any legal/tax implications in doing this?

Hi. For the Director's personal address you must use the address that you live at. This will not be viewable by anyone publicly. However, the service address (which is publicly viewable) can be any address that you choose - eg. a virtual office address.

ps there are no legal/tax implications. Your personal address is a matter of fact but the registered office and Director's service addresses can be any address you have access to (although no PO Box numbers I believe).

Excuse me if I'm being stupid but can you tell me what the difference is between directors service address and the personal address is?

On companies house website for instance there would be registered business address, directors service address (This can be any address of my choosing) but my personal address would be private (however could be the same as directors serviced address)?

HMRC and companies house mail would be sent to which address?

Yes, all 3 addresses could be the same (if you work solely from home).

The service address is the address which is available on the Companies House register in respect of you. Anyone (including Companies House, suppliers etc) will be able to contact you personally at this address.
The personal address must be your normal residential address - which is only available to Companies House (and potentially other Government agencies?).

By default, Corporation tax correspondence will be sent to the Companies' Registered Office Address. For other taxes (e.g. PAYE and VAT) this will depend on the address given to HMRC for those taxes - must be your normal trading address.

Director's address is an official contact address where directors will receive personal statuary mail and correspondence from third parties about the company.
  • Companies House will display this information on the public register.
  • It can be seen by all members of the public.
  • It can be anywhere in the world.
  • It may be your home address or the same as the registered office.
