Overseas Co Setting up UK banking

For one reason and another a Dutch company I know needs to set up a bank account in the UK.

A cursory chat with HSBC indicates that they need a limited Company in the UK to do this. That's no problem. The question I have is what is the absolute minimum they would need to do to ensure the newco satisfies all regulatory accounting requirements such as company accounts and the annual return,

Cash will be received and occasionally sent to Holland, but that's about it.

Accounts and an annual return will be needed each year. VAT won't be required as there are no vat issues.

The accounts wont be at all complex as the company will exist purely to invoice and receive money - not for operating expenses at all.

Anything I am missing anything?
Does a UK accountant have to be used?
Any other factors which need to be taken into account?
Presume a registered office need to be in the UK?

I suspect the company might need a UK resident to apply for their UK bank account.

Thanks - this seems to apply to Lloyd's, but HSBC have advised that overseas folk are fine (well, Holland at least) but will need to visit the UK to confirm identity at a branch. . Thus no requirement for a UK resident.
