Directors meeting

Hi if a directors meeting is called for 1 of August but it isn't convenient for 50% of the board how far can they reasonably put it back ? Is 30 days acceptable ?

My opinion would be that what is reasonable is a date that suits everyone.

What if any date that is proposed is repeatedly (and maybe deliberately) inconvenient?

A Director has a legal obligation to do what is right for the company and that would include attending meetings... even if it is inconvenient.

Then sufficient notice will normally be given and some directors attend.

As long as you have a quorum you don't need them all to be present and they can nominate someone to place their vote for them

An AGM is not a Directors' Meeting. It is a meeting of the shareholders, although clearly the Directors do normally attend. Does it say anything in the company's Articles of Association about the AGMs?

If it is an AGM ( so not a directors' meeting) as said above check the articles and Model Articles if applicable (and any shareholders' agreement if you have one) as that is the first place to look for an answer on quorum for the AGM and how the AGM should be held/ If most of the shareholders can make it then you do not normally have to pick a date which suits all of them (never mind the directors )

Are you sure about this? I thought that was only in the case that there are alternate director provisions in the articles.

You need to look at the Articles of Association which governs meetings of this type

Some of the new temporary laws regards meetings are crazy

In our village they held the Parish AGM virtually, sent all details in to accountant

He couldn't accept them as Parish Meetings can't hold virtual meetings, they also couldn't hold physical meetings, but the law says they have to hold one between March and June.

If the Model Articles apply then attendance can be online whether a general meeting of shareholders or a Board meeting of directors. Proxy voting applies to shareholder meetings.
