How to close a LTD company?

What is the process of closing a business which has not been trading for over 1 year? Its still VAT registered.

What is the process of closing a business which has not been trading for over 1 year? Its still VAT registered.me and my partner had opened the car repairing company,from may 2010,we have a 1 year contract with landlord,because we rent a garage.
now i am alone,my business partner quit,and i want to close the company.can i do that alone,without his sign,because legally we`re still partners.
