Tips and strategies for shareholders/directors

LawDepot's Shareholder Agreement is poor. Firstly despite some attempts to localise (pound sterling sign) it still wants to know which State you live in and talks of corporations rather than companies which apparently have 'by-laws'. It gives as main intention to remove powers from the Directors and give more power in running the business to the shareholders! Lumps mediation and arbitration as the same resolution solution, breaching the fundamental principle of mediation being that the mediator, unlike the arbitrator does not determine the outcome. Lots missing such as providing a forced share offering by departing shareholders. could go in but I won't

I had a shoofti at some of Law Depot's stuff, and it smelled of an AI patch-up job. The way to do any kind of agreement is for both/all sides to write down in bullet points what you want in that agreement and take it to a lawyer who specialises in commercial contract law. He/she/it/they will box that into an agreement and put in a whole load of other stuff you will have missed or didn't know you had to worry about.

The answer to my first question as to whether a Shareholders Agreement has already been entered into is vital since this may contain much of the context for agreeing a future change. What you want to avoid is being required to negotiate change in the Shareholders Agreement as a condition of agreement to elements of the new arrangement. In other words it all has to be in context This equally applies if there is no Shareholders Agreement in which case one has to be agreed now and only then design and agree on the future company changes,.
