They have a website and are representing a Scottish michelin starred restaurant. They are selling advertising to small, local businesses promising that they will be featured along side brands such as Aston Martin. The company is blaming the sales man for mis-selling but is advising that these businesses who have also been misquoted prices should seek legal advice to reclaim lost monies.

i signed up for a 2-year b2b online advertising contract, but was led to believe that there was a 7-day statutory cooling off period (i now know that this only applies to consumer contracts not b2b).

after examining their portal more closely i began to feel uncomfortable with number of dead links on the site, so i tried to back out of the contract, but they would not let me.

after a number of weeks i became aware of the 'tort of deceit' and threatened to sue them. almost immediately they agreed to cancel the contract and repay my deposit.

Hi Rebbeca,

Unfortunately I don't think you can fight them off unless you can prove non-performance which would mean taking legal advise ( expensive umless you have free access via a trade association). Sometimes it is better to just pay up and grin & bear it. Become older and wiser.
Make sure that they know by recorded delivery that you do not want to continue with this contract otherwise it will rollover every year

hi rebecca

if the amount of money involved is less than £5000 then any legal action is likely to be allocated to the 'small claims track', which is inexpensive if you handle the action yourself. check out the HMCS website for further information.

if someone takes you to court then there is an opportunity to make a counter-claim against them. (i don't know how this works if you are being sued by a third-party, like a debt collection agency).

if you make a counter-claim under the tort of deceit then you should give specific examples of the deception(s).

for a court case, try and make it as inconvenient as possible for the other side, for example:
request that the case be transferred to a county court in your own area
ask the judge to order the other side to produce their salesman as a witness

as far as bankruptcy goes, two things must happen first:
a judge must decide against you (i.e. issue a CCJ)
you must be unable and/or unwilling to pay (you can ask for time to pay, but it is best to pay within a month if you can, as then the CCJ will not appear on your credit file).

i have to ask why you didn't sue them for tort of deceit? of course they can say whatever they want regarding B2B contracts, but they cannot ignore you if you take action first; then it is up to them to make the counter claim. do you think it is too late to take this approach? if not, document their deception(s) and send them a recorded delivery ultimatum for your money to be refunded, say, within 14 days. if it isn't then issue a claim via the HMCS website.

this approach worked for me so my claim did not get tested in court.

if it had gone to court then i would have hoped that a judge scrutinising the contract, which would have been Unfair in the Consumer world, would have awarded only partial compensation.

if you need free legal advice you should try Trading Standards, your business insurance company, if they have a legal helpline, or the Federation of Small Businesses, if you are a member.

if i hadn't emerged relatively unscathed from the my encounter with the online group i would have created a google newsgroup (OLGA - OnLine Group Advertisers) and invited other advertisers to join. an exchange of ideas about their underhand practices would have at least given me some satisfaction and possibly cost them some revenue. this is an avenue open to you, but do not threaten them with it as that might be viewed as blackmail.

my number 1 tip to all their advertesers would be to be aware of the cancellation terms; you must cancel at least 12 months prior otherwise you will be sucked into a further 12 months. so if you wish to cancel, give notice today for the future, do it by recorded delivery and make sure you get a written acknowledgement.

The previous posting (sorry don't know name) is very interesting. They are indeed quite correct. It's there plain to see on Companies House website. One thing should be added though. All those businesses out there whom feel they have a claim against this outfit due to non-performance of their [removed by mod - unsubstantiated] contracts should claim now !! If 'The Online Group of Companies Ltd' either declares themselves Bankrupt or is forced into bankrupcy by one of their creditors then you will have no claim and will have definately lost your money. Its easy to claim if it is less than £5k and you don't need a solicitor or even have to attend court in person. It can all be done on-line via the uk government website called 'Money Claim Online' and doesn't cost as much as you would think. (any court fees form part of your claim anyway) All papers are served by the courts and sent Recorded Delivery. You can also track progress on-line also.

Remember you are claiming against the organisation (not an individual): The Online Group Of Companies Ltd (!! The suffix Ltd must be included !!). Also use their Registered Address: Keystone House, Avroe Crescent, Blackpool, Lancashire FY4 2DP

If you have one of their [removed by mod - unsubstantiated] contracts that say the work may exceed the 24 Week Timescale, and this time has now lapsed it is highly likely they are currently [removed by mod - unsubstantiated] stalling [removed by mod - unsubstantiated]. As the saying goes, its time to wake up and smell the coffee.....

Hello - fortunately the contract can be cancelled, but you must examine the small print on the back of the contract, and then follow the conditions to the letter. Only then will you get a [removed by mod - unsubstantiated] admission from the company that you are no longer beholden to them. Getting that admission in writing is another matter altogether.
Do everything by recorded delivery.

i am from birmingham i run a a takeaway shop in wedensbury. I had just read your thread and i have to say the same thing has happend to me. Mr. John Longworth had come to me aswell with the offer of promoting my takeaway in hotel map guides for Park inn & holiday inn hotels.

I had a feeling that there has to be a catch to all this and told him that i will pay you £20 deposit and let me confirm with the hotel manager. so i signed the contract and just gave him £20 deposit, he said he will ring me the next day to make the rest of the payment by credit card over the phone so i said ok.

The next day i went to the hotel Park inn wasall the manager clearly told me she not aware of anything as such and gave me this in writting via email. Mr. Longworth kept on ringing me for the payment i ignored his calls till date i still ave txt messages from him saying that if i dont make the rest of the payment e will have to cancel my contract and i rang him to do that.

After a few months i thought everything is fine but then i recieve a letter from Amblery clarke demanding for payment or they will take me court and send baillifs to my shop to remove equipments to cover the debt i owe to them. i ignored Ambelry clarke and just told them to prove it to me that my advertising is going ahead but they couldnt.

Now recently i am getting phone calls from a Bailiff demanding for payment and threatning me to come to my shop and remove good and plus pay threir fees of £300 on top if they have to come down. i have asked him to prove who is send me some letters atleast saying that i missed a court hearing or give me the court which i was meant to go to but he is refusing to.

so i dont know what to do now.

I have been duped twice by this company. Both times the salesman promised us exclusivity and other key features that did not happen to appear on their copy of the contract. I got duped twice because my wife signed the second contract without knowing the problems I had encountered with the first. I have responded to their demands from Amberley Clarke with a response of "see you in court" now. I intend to fight it and ask them to produce the salesman. I will collect evidence from other advertisers on the same leaflet who were all told of exclusivity in their particular speciality. I think this company is very good at doing business in this "underhand" way and suprised they are till trading.
Will post response after this goes to court.

Be very careful if approached by any representative of this company or related businesses. I have recently advertised in one of their restaurant brochures. I feel that I was mis-sold the product and that the terms were not accurately explained to me. After signing up & agreeing to pay by direct debit, the brochure in which I advertised was not produced for 9 months. However on generation of a proof, two years of payments were taken from my account within the first 3 months. Having been told I would get exclusivity, 3 of my competitors are featured, one of which is just along the street from me. I was shown a brochure of another restaurant for reference, but the publication I have advertised in is a very different format. I sent letters, emails & made phone calls over the nine months and each time I was assured that the publication will be going to press "in a few weeks!" I would not rush into advertising with The Online Group again.

Have the same situation as aniljazz(post 21 february 2010) - Sent two letters to Amberley Clarke by recorded delivery, but the letters been returned to me as there were no one to collect them. Instead, had a call from some bailif,telling me that he had a warrant to collect the my possesions,but refuses to give me the court name, the claim number and so on. When I start to demand all the information he become nasty,rising the voice and calling me a con. What shall i expect next?
To aniljazz - how did your case ended?

Hi Mike-or-miky. Amberley Clarke have previously been written about within this thread and their relationship with regards to The Online Group of Companies, however for some reason it was removed by UK Business Forum. In fact, this thread has been up to four pages in recent months and the UK Business Forum have removed almost half of it. This is a great shame as it is all centred around the activities of the Online Group Of Companies and would highlight similar experiences to yours.
The bottom line is, Amberley Clarke are the same people behind the Online Group of Companies and they use this front to collect monies (whether you owe it or not). The relevant authorities are aware of this. I recommend that you go onto Consumer Direct and report your experience. Unfortunately it looks like UK Business Forum lack the teeth and the courage to keep this kinds of postings live so expect this posting to be removed in the near future too.

The Online Group of Companies Ltd (Company No: 02719157, current status Voluntary Arrangement) are now also operating as UK Online Media Ltd (Company No: 06412247) from the same premises. They are promoting exactly the same kind as activities as The Online Group of Companies Ltd, (previously Box Office Publicity Ltd) and Amberley Clarke Ltd (Company No: 06478159, current status Struck Off and Dissolved)

Hi ardi. Welcome to a very extensive club. We've all been in the same boat. Many others have similar tails regarding The Online Group of Companies, however the UK Business Forum have seen fit to remove about half of them along with the accompanied advice from other businesses that have had dealings with them.
If they have taken money from you and have failed to deliver (perform) the contract within a specified time that would be deemed appropriate by any sane person or judge, then the solution is simple. Take them to County Court. You can do this on-line via 'Money Claim Online'. This is a government organisation and depending upon how much they owe it should cost you no more than about £100. (This fee forms part of the claim you make against them anyway). You will have no direct interaction with OLGC and the court will handle everything.
If you are experiencing the so called 'Amberley Clarke' arm of their operation then this is a slightly different matter. They are the same people working from the same offices in Blackpool and use this as a front in order to obtain money from you. Their means of achieving such is an escalating scaled approach. Numerous letters, threats of Bankruptcy and finally the old Bailiff on the telephone trick. The main thing to remember is do not worry. The law is on your side. If they're so called 'Bailiff' has a warrant then he won't have a problem in letting you have a copy and the details of such.
Let us know if you need any more advice. You may need to be quick, as this Business Forum doesn't like members giving out useful advice.

Hello,

I have a same problem. Used them for 2 years, very soon realised that I just wasted £4000 + VAT. They contacted me several times to sell me more advertisement, I always told them that I'm very sorry that I used them in the first place and that I'm completely unhappy. I contacted them few times about update on my advertisement, someone promised to contact me as soon as they will do that. Last person contacted me from that company was lady asking me if I will renew the contract, dont know why, I told her everything the same as I told many times.... This summer I received a letter from Cristen Dex Group asking for a payment of £2420 for missed payment. I was surprised. They told me that I owe money under the contract and that it is autorenewable.

Any advice?

I found another post about them!

"All contracts are rolling requiring 1 years notice of cancellation although they will not tell you that at the time of signing. If you read the small print you would never get involved. In what at best can be described as sharp practice they are very well versed in the law and do not conduct their business in a way that would ever get repeat custom. Frankly a bunch of con artists!"

I have a problem with them as well.

I offer to everyone who were coned by them to get together and to make a big claim against them, this company should be shut down and they should repay everything to their clients.

I checked my adverts personally and they are not in every suite of the hotel, only given by request to the clients. If i knew that I would never advertise, but they say that it is not stated in the contract. On other side I got a witness who was with me when sales agent Thomas Preuss promised us an exclusivity and adverts to be placed in every single room. One of 3 hotels doesnt have my advertisement at all and I got a proof of that from the manager.

Please do write me and we will arrange some meeting.

We were also [removed by mod] by this company. We originally refused to make the payment after I felt uncomfortable about the way they were pushing us. They then started chasing us by some debt collecting agency we also refused to pay. finally while I was away My partner recieved a call from some bailliff and was worried so he paid the bailliff.

unfortunetly we have now again got contacted by another collection agency called MEDIA CREDIT MANAGMENT, I have tried to research this company and i can not find any record at Company House. Their website domain address seems to have recently being registered by an individual Person not by a company.

We have called OLG and they said their record does not show that we have paid.

I am thinking of sueing this guys any one with any advice will be appreciated.

I run a pub in Brighton and after a face to face meeting with a sales rep from UK Online media I agreed to place an advert on a map of Brighton that was to be placed in a number of hotels close to my business. As there was only one pub to be used on the map I had to agree there and then or the sales rep would move on to the next pub. In addition the map was going to print ion 4 weeks so time was short. It took over 20 weeks to go to print and there were 6 other pubs advertising. On top of this I was told the map would have numbered dots and an index to locate the featured venues. Not only did this not happen but the area of Brighton I am in is not even on the map. The hotels that wre supposd to recvieve the map did not and hotels nowhere near me have taken stock. I was told the maps were reprointed every month so we could change our artwork to reflect special events (not true) I was also told I could cancel within 6 months and recieve a refund if not completley happy (not true) The list of untrue statements goes on and on.

I paid a deposit of £183 and one installment of £312 but refuised to pay any more untill I saw the finished product. I have now seen the product and it is not what was discussed wit the sales rep so I have refused to pay any more money and have demanded a full refund. After writting a letter of complaint to UK Online media, i did not receive a response. However a lady called Nicola from Amberley Clarke called me explaining she was from an independant company acting on behalf of her client UK Online media. I explained I would not be paying any money and wanted all of my money back. I went on to explain I am collating all complaints from Brighton advertisers (there are many) and will run it past a solicitor in January. If anyone has already received legal advice for a similar case I WOUILD BE KEEP TO HEAR FROM YOU.

I will update this forum as and when I have news.

I would sincerely hope not. I've not idea what the legalities of this are but it sounds a bit of a shocker. If it's any help, the administrators for the defunct Online Group of Companies are Wilson Field.
In at least one town in the North of England, the activities of the salesman & his employers are the subject of a police investigation.

I was asked to advertise in a brochure for a local restaurant, I contacted the restaurant and they confirmed the company would be creating their brochures so we signed up to make 3 payments. The company then became Adzel and since then they have taken 2 further payments out of our account.

I am only 22 and feel so violated that a person can sit in front of me and scam me out of so much money. So far we have not seen any brochures at all and the contract was signed 4 months ago.

If anybody can give me some advice it'd be much appreciated.

These people are now called Adzel Ltd, they have bought Online Group of companies and taken over the contracts, I would suggest you contact Trading Standards to see if you could go through the small claims court.

Check out Adzel Ltd they bought this company so should take on any commitments, check with Trading Standards you may be able to go through small claim courts. Good Luck

People might be interested to read a post on a the consumer action group website - can't post the URL here but if you just log onto their forum page, and search on Adzel, you'll see it.

This tawdry little outfit are really beginning to get my hackles rising, long after I'd written the whole episode off as one of my more expensive mistakes.

I'm going to be warning the local firms who were similarly stung by this bunch, but in the meantime it probably pays everyone to check carefully those shabby bits of paper that their salesman tricked you into signing.

I have had a very similar problem with this set of companies ie original agreement signed which turns out to have a very nasty rollover contained in the small print. But after speaking to my solicitor, the new company (Adzel ltd) are not able to chase this debt legally, there is no provision in the original contract to assign the debt to anyone other than Online group. I was being chased by Media Credit management until a rather stern email informing them of this was sent, I have heard nothing since and would recommend anyone else affected do the same. They are a particularly nasty debt collector, please do not give in to them, they do not have a leg to stand on with these illegal debts.
