Shareholder's Agreement Needed

Hello,

Where can I get a shareholder's agreement template? My partner and I currently don't have one and I think it best we get one in place.

The company was set up as a small family run business between my then wife and her father. They were each 50/50 shareholders. They were each co-directors as well.

When his health went downhill, I bought his share and took over as a director.

My then wife and I got a divorce but kept the business running.

Although things are fine now, I want to ensure that if there are any disagreements, we have a shareholders agreement in place.

I don't want to go to a solicitor for a full custom one and thought a template one that we could modify to suit would be a good option.

    So you want to clarify the future of your company as you feel it is important for some strange reason, yet don't want professional advice just some knocked together template that looks like it might do

    When your wife has a hissy and sells her shares to the guy down the pub who wants to be equal Partnership as you and does no work but access to the bank accounts, was that in your template

    Surely there has to be some common language and best practice in ALL shareholder agreements.

    I seriously doubt that when a solicitor draws up a shareholders agreement, the first thing he does is stare at a blank piece of paper.

    There must some sort of doc that is the launching point of an agreement that you then backfill with items relevant to the company.

    Does that make sense?

    I am a solicitor and we use a template from Practical Law as a starting point. There are lots of areas of commonality but as another poster has said above, every situation is unique and just using the template may not provide you, the company or the other share holders with the protection you are looking for.
