I need some advice regarding a limited company I set up.

This is a new company, at first I wasn't to sure about dividends and shares so I had the accountants set up ordinary shares and b shares.

We have 2 directors which hold ordinary shares and 2 b share holders. They told me it would be better for tax purposes to add the 2 wife's.

It turns out this is going to be way to complicated for what I want. So I have asked them to remove everyone else and just have me as the sole director.

This is what they have said. Is this the going rate? Does anyone know if I can get this cheaper?

you can either transfer all the shares (both classes) to yourself so you would hold two different classes of share. Or you can amend the articles and remove the B shares. The quote for the first option would be £170 +VAT and the second would be £220 +VAT. It would be up to you which option you wanted to go for.

    Are the other share holders prepared to agree to this? It sounds as if you consider this to be 'your' company, but the other ordinary shareholder has equal rights to you.

    Has the company started trading yet? If not it may be easiest to make the company dormant, resign as a director and start again.

    You can set up a limited company yourself if all you want is a single shareholder and single director (you). Issue 1 share @ £1 to yourself and use standard articles etc.
