Legal contract for fashion jewellery manufacture in India

I am about to create my first order from the fashion jewellery manufacturer in India. I would like suggestions on the legal terms or may be a sample contract will be helpful which I can amend

You should require a term that gives you the right to return items returned by your customers under consumer law. Also jurisdiction should ideally be English law (not a problem in India which built much of its own laws on our law) and court action must be in England (but he might reasonably object to that - depends on the power of your money). Given the problems in suing in India (cases take years) you need a detailed dispute resolution clause. But lots of other ones. PM me if want terms drawn up. A company I am associated with professionally has offices in India and I have a number of lawyer friends and colleagues based in India.
