Urgent help - I've Made a Mistake

Hey - could somebody please give me some guidance.

• I had an idea back in Nov/December 2019 and founded a company
• For various reasons, including COVID, the idea never got going. I never traded; I never created anything; etc.
• The company address was my previous home - I moved out in January 2020
• Naively, I thought that with me never having actually done anything with the company, there was nothing to report to companies house/HMRC
• The landlord of my old house text me today to say there are lots of letters here for me. (If he had had told me at the time the letters arrived, this would have been averted. But still - more my fault than his)
• One is from 03/02/2021 from companies house. It states that they are removing the company from the register
• I looked on companies house and there is an active proposal to strike off

How do I resolve this and how much trouble am I in? I don't mind if the company is taken off the register, because I've never used it for anything or intend to.

I'm quite scared - please could somebody give me some guidance?

Unless you want to save this company in particular, let it be struck off.

Then later if you want to do something set up a new company. And avoid any headaches in between.

Thanks, I should add in case it wasn't clear that the reason it is being struck off is because I forgot to file the confirmation statement. @Newchodge, does that make a difference?

There is no need to be scared. The reason that you've received the letter from Companies House is that they're trying to confirm that you are still operating, and because they hadn't received your Confirmation Statement, they didn't know what your situation was. Rather than just ignore it and because it is obviously worrying you, I would just write them a quick E-Mail and explain then you can relax.

They won't halt the Strike-Off process because there is no reason to. Winstob formed the company, hasn't used or operated it, therefore now wants it Struck-Off which is exactly what Companies House want to do Strike It Off because it hasn't traded.

Quick follow up question.
If a company has never traded or had any kind of operations but it has issued/alloted new shares to a new shareholder (not one of the original subscribers) does Companies House consider that company to be "dormant" or does share allotment count as a "significant accounting transaction" for accounts filing purposes?
