I posted some time about "considering SpongeBob".

I have very overdue company accounts for year ending Sept 23.

Whilst gathering information and making preparations, I've received a letter from Comapnies House this morning saying "we are the prosecuting solicitor to institute criminal proceedings against you".

It does also end with "if the company is no longer required, you may wish to file a DS01 form".

I am about to file my DS01 and then phone companies house to see if there is any way I can avoid the criminal proceedings and potential criminal record / fines.

I appreciate I am in a mess of my own making, but any advice would be a lifeline.

Just forget it - it's a standard letter sent to millions of late filers and there are no prosecutions that I know of for late filing. It would be in the news if there were.
A quick Google suggest almost 2000 people were prosecuted in 22/23 with the number consistently rising.

OP - unless someone else suggests something different I would agree your suggestion sounds the best option.

33,232 people were convicted in the 10 years ending with the government financial years 2021-2022 due to failing to file accounts in England and Wales, and 10,038 people were convicted for failing to file the Confirmation Statement during the same period.

Sorry if I gave the wrong impression - I wouldn't suggest the OP do nothing - but he doesn't need to be worried about the letter as it's a standard reminder.

It looks like Companies House are getting more pro-active.
