Shareholders Agreement

Hi All

We have a business where we are looking to sell some of the shares to two of our key members of our team. We have other businesses with other shareholders but these have all been agreed and set up from the outset.

Ideally I could do with help with 2 areas;

1/ To draw up an initial agreement outlining how the relationship will work, their involvement, when we will pay dividends, how we see the business growing etc. Really just something to make sure everyone is on the same page from the outset before we part with any shares and our team part with any money.
2/ A shareholders agreement to formalise everything once agreed.

Is anyone either able to help or recommend someone who can?

Many Thanks
Greg

    I am not sure if he will love me for this but the @The Resolver springs to mind immediately BUT my first thought is really should you not be sitting down with your own solicitor in the first instance I am sure they should have someone on board with the expertise.

    Its re-threshing to see someone has thought about the implications of selling off some shares before doing so, the forum is littered with those who wish they had. best of luck

    Can do - have drawn up over 100 Shareholder Agreements over the years as well as, importantly. working to ensure all shareholders are in agreement. Book yourself initially into a free call with me at www.SeeYouOutOfCourt.com/book-online so we can discuss and I can find out more about context, whereafter I will be able to submit a fee quote. An importantinitial point is to consider the tax issues (presuming the shares have value) and whether makes sense to be covered within one of HMRC's employee share schemes.
