Hi guys,

Just about to form a new company through an internet based CFA.

I am just confused with the various packages that they have to offer.

What i want clarity on is the documentation provided by them to operate a company.

1. Do i need hard copy of "Certificate of Incorporation" or will a soft copy do, which I can print later for various purposes.

2. What does a bank need, "Certificate of Incorporation" or "Memorandum of association and articles"? Or both. What is needed to open a business bank account ?

Any help in this regard will be great.

Thanks,
tomkin

Companies House will provide the original Certificate, which has to be signed by the Registrar, which can then be copied.

http://www.companieshouse.gov.uk/about/gbhtml/gp1.shtml#ch1 Item 12

When I open a new business account, I take the original Certificate and a copy for the bank to keep (if they want it) and a copy of the A&M.

Thanks for the reply.

I am thinking for using companyformations247 and the silver package looks good for me.

What other official items do i need to operate and run a company ?

Is there anything else i should go for now or everything can be sorted out later ?

So the package I am choosing will contain.

1. Formation Certificate (hardcopy)
2. Electronic copy of A&M

Can you please confirm it ?

Regards,
Tomkin

Hi there,

Banks normally ask for the incorporation certificate which is proof of the legal existence of the company by Companies House. Some banks like this on official Companies House paper and so that is what you are ordering the "hard copy", although some accept simply a copy of the certificate which you can print out yourself. Maybe discussing this with your bank first is an idea.

The three main documents you should have when starting a new company are the incorporation certificate, the memorandum and articles of association as well as the company register.

The company register needs to be kept up to date at the companies registered office and Companies House must be aware of any changes that are made to it.

The company register should contain all of your official company documents. This will include the following:

·The registers of members
·The registers of directors and secretaries
·The register of applications and allotments
·The memorandum and articles of association
·The minutes of the company
·Documents lodged with registrar of companies
·Certificate of incorporation

I hope that helps.
