can u register an Ltd company in the UK which operates only online and the main clients of the company are in Spain?I want to launch a booking hotel website for Spain hotel but I live in the UK. I will go to Spain in order to finD the hotel owners and put them on my website...do I need to register my Ltd company in the UK or in Spain?

All the admin stuff will take place in the UK . I will go to find the hotels in spain and my girlfriend will handle the bookings and everything in the uk

It sounds to me like you will not have any employees, premises, assets or be concluding customer contracts in Spain.

The issue I think is 'permanent establishment' and whether you actually have one or not, whether you are deemed to have one based on things like the tests above (they vary). The effect of this is you maybe obliged to setup an actual permanent establishment or at least account for tax.

It really doesnt sound like it in your case but googling, 'permanent establishment spain' ought to give you a heads up

First of all thank u for your replies....the think is that i want to register the company in the UK because after i find my clients i will move back in uk + for tax reasons....i will ask for hotel owners to sign a contract with my company and the will ask me to issue invoices as well
