Partnership with Romainian company

Hi

My company has been employing the services of a Romanian company over the last two years working on various web projects. I am now looking to launch a new software business and to keep development costs down I am looking to offer the Romanian company 20% equity in the new company

There role will be to provide the technical side and we will be doing the marketing etc so there investment will be based on $50k of manpower etc

What would the best way to structure this be (it has been suggested we use holding companies) as the romainian team will not be involved with the running of the business on a daily basis
