IP contracts and protection advice

We are currently looking at a couple of business ideas that will require carefully prepared IP contracts.

1. We are looking to protect a web-based tool that we are selling commercially.

2. We need some contracts drawn up for using 3rd party designers for work with our clients.

Anyone know any good people in this area, or where to look?
