how to absorb a Ltd company into another Ltd company ??

Hi,

We are looking to take over another limited company. The purchases will be fairly small as we are only taking over a small amount of stock but mainly we get access to customer base details etc. The company we have taking over is VAT registered. We are not at the moment and will not need to register just yet.

How and what do we need to do ?

Are you buying the assets of the business or the shares?

If the assets you would advised to be vat registered on transfer of the assets.

The price paid less the amounts allocated to tangible assets will be regarded as goodwill on acquisition.

No real assets mainly the customer base. How would I transfer the shares to our company ?
