Hierarchy of company rules

    Am I correct in assuming that the correct hierarchy of company rules would be: 1) Articles of Association, 2) Table A, then 3) Companies Act 2006?

    I would say that the Companies Act trumps the previous two. You can't put something in the Memo and Articles that breaks the law.

    Thanks for the reply. So something in the CA 2006 supersedes any rule in Table A? I thought that Table A was the default for rulings.

    CA 2006 sets out the law. Table A is suggested set of rules. The rules can be changed but they cannot allow the law to be broken.
