Filing dormant company accounts

I have incorporated a limited company but have not traded as such. I have £20 in the company's bank account that I have transferred to cover any charges.
I have then incorporated a website and used the company name but has since been paying a quarterly subscription fee via my personal debit card.

I need to file my dormant company accounts since the company have not been trading and finding difficulty to understand the called up share capital not paid.

Called up share capital not paid: ?
Cash at bank and in hand: 20.07
Net assets: ?

Total shares issued were 1 at a value of £1.

Could you please help me fill the called up share capital not paid and the net assets!

Hi David,

I appreciate your reply. The only transaction was £20 transferred from my personal bank account. the rest of the transactions that cover the website were all taken as a direct debit again from my personal account. Hence I thought of filing a dormant company accounts. Could you advise me more on what to do next please

Less current liability
Directors loan.........................£20

If there have been no transactions other than paying in the money for the director's loan that will be your year end balance sheet.

The company cannot be dormant for that year. Companies House only allow a small set of transactions to be ignored.

When determining whether a company is dormant you can disregard the following transactions:

  • payment for shares taken by subscribers to the memorandum of association;
  • fees paid to the Registrar of Companies for a change of company name, the re-registration of a company and filing annual returns; and
  • payment of a civil penalty for late filing of accounts.
