Ds01 Strike off opposed by HMRC

Hi Guys, First off thanks for reading another one of these kind of threads. I know there is a lot, an overwhelming amount, and I think ive read too much conflicting things to know where to go.


I set up a company at the end of april 18 to start a new venture but quickly was taken up in anotehr aspect of my life (partner with mental health problems)

The company is the first one ive ever opened, It never had a bank account and never traded. After speaking to an account after saying I have no need to have the company open, I filed a DS01 form to strike the company off the register. This was filed 7 months after formation, so not really a long time. November 18.

There was an objection to this strike off, this was on jan 19. I got in touch with CH and it they said it was HMRC that objected.

Now I want to get in touch with HMRC but I dont trust them to not gaude me into something on the phone, I want to send them a letter so I have a record too. I dont know which department to write to, or say the right things in the letter.

The company never traded, never took in any money, never had a bank account and never paid a single invoice. Are there any smarter people out there that could mention some points that need making in the letter to them? Ive read some posts about people saying re-file the ds01 but I dont know if I should? I dont want to restart the strike off clock again?

Companies house said they would restart proceedings if they didnt receive anything from HMRC in july 19 which is too long, I want this dealing with asap, its causing me some distress :(

    The best thing you can do is comletely forget about the company. I take it you are not receiving letters from anyone about it? Forget about it, and it will eventually be no more.

    Id rather this was dealt with than just left to lapse. surely I could write to HMRC and have them drop their objections? Or do I write to HMRC and do the DS01 again?

    Another reason I want to get it struck off is, we rented a building, but paid cash personally for it. The landlord has had a tennant in since that has run up energy debt. The landlord has exahusted trying to chase the previous tennant is now is looking for a scapegoat to blame. I have no meter readings for energy use whilst we were in and we were in there for so little time it cannot be our debt. I have no meter readings to prove this though, and the landlord knows this. I just want this shut as fast as possible

    I tried to call HMRC but I got a computer says no attitude. They wanted a Unique reference number. They said they cant talk to me without one. I dont think weve ever had one as we never had any letter from HMRC. I explained this to the person on the phone. She then said she can send a letter out to me with the URN on but we are no longer at that premesis. She then suggested I changed the business address to my home address, which there was no chance of me agreeing to that!

    Should I write to them and hope for a different response? I didnt even get to explaining the company had never traded

    It's standard for HMRC to keep objecting if the Company hasn't submitted it's tax returns as they don't know whether any taxes are owed.

    Eventually it will slip through the net and C House will strike it off for non filing of statutory returns, unless it is Liquidated in the meantime.

    HMRC are referring to a Unique Taxpayer Reference number, which is a 10 digit numerical reference. They should have allocated this soon after incorporation and sent you notice of it. If they haven't, they can trace it on their systems.

    It seems that you spoke to one of the ignorameous that man HMRC help-lines these days. Try calling again in the hope you get to speak to one with a brain.

    May be a tad hard getting stuff from HMRC then.

    Hi guys nearly a year on and I'm still waiting for this to be struck off! :( Ive just had this email from companies house to suggest its not going to be struck off any time soon either!

    "Thank you for your email of 6th January 2020.

    The objection to the dissolution from HM Revenue & Customs has not yet been removed.

    Unfortunately, we can only withdraw the objection if notified by the HMRC that they no longer wish to object to the company being removed from the register. Please contact your local corporate tax office or contact the HMRC on 0300 200 3410."


    Ive already tried this but they refused to converse with me as I didn't have a URN :(

    any advice guys?

    Personally I'd write a letter. All correspondence will be logged at HMRC and it will eventually find its way to the correct person. Alternatively try and find some documentation that you would have received from HMRC when you first set up the company - and address the letter to there. If I recall correctly the UTR code isn't always referred to a a UTR code on HMRC's paperwork, just to add to the confusion.

    Agree, write to them. Did you ever tell them the company wasn't trading? (First thing you should do with a non-trading company ime.)

    They are probably just waiting to be able to tick that box on their system, and you telling them so will let them do it. Their issue is that if there's tax to pay, they can't get it once the company is struck off, so you just have to tell them there's no tax to pay.

    There can't be any need to quote a UTR in the letter - it no doubt helps them but can't be a legal requirement, surely?
