Dormant company overdue accounts, can I strike off instead of paying penalty?

Hi,

I registered a company 6 years ago and have been filling accounts every year until last year.
Last year I moved house and most of my mail still hasn't been redirected to my new address so didn't get a letter reminding to submit accounts and forgot to submit.

I've never traded, the company has had no incoming or outgoing, all previous accounts have shown that my company is dormant.

I've just received a letter that was forwarded from my previous address saying overdue accounts, I'll need to register my accounts within 14 days of the notice or my company may be unregistered and I may be prosecuted, of which 7 days has already passed.

As I have already missed the deadline, when the accounts are received I will receive a financial penalty.

If the company is no longer required you may be able to apply for it to be removed by filing an application form for a strike off.


So, how do I apply for the strike off? Can I do it online, how long does it take and how much will it cost?

Also if I apply for a strike off will I still receive a penalty for late filing, and how much is the penalty likely to be?

If the company is struck off then its penalties die with it. I would check with Companies House that they are not planning to prosecute you as an individual.

Thanks but I've just posted a £10 postal order from Royal Mail. What happens if I do both, do I lose one of the payments or can one be refunded? Thanks

No idea - give CH a call and find out.

I believe that if you apply for strike off prosecution would be suspended. Best to speak to Companies House direct though to confirm.

Hi, thanks all that replied. I emailed companies house and they replied within 3 hours saying my application to dissolve the company was in progress and my documents are no longer needed unless I withdraw the dissolution in which case I would have to pay the late filing fine.

Looks like its all going ok.
