Hello all, I want to start a dormant company for the time being but am rather confused and have a few questions.

Do I have to send form CT41G to companies house every year or just once and do I send it to HMRC too?

Do I send form 363(annual returns for a dormant company) to HMRC and Companies house?

Is there anything else whilst dormant that I must send, if so what is required?

If I incorporated on 21st August 2011 would my return have to be in by 1st august 2012 and 1st aug 2013, 2014 etc?

Any help is greatly appreciated, I dont want my head to explode before i'm 30

Form CT41G is a HMRC form and is not sent to Companies House at all. There is a dormant insert for this form which is what you need for HMRC, but you must then notify them within three months when you do start to trade

HMRC will not normally send a notice to file a corporation tax return to dormant companies. However, if they do, even by mistake, then you have to complete and file the form. That must be done online and any accompanying accounts must also be filed online in a prescribed format known as iXBRL

Do I send form 363(annual returns for a dormant company) to HMRC and Companies house?

Form 363 has now been superseded by form AR01, and is not the form for flling dormant accounts. That's a form AA02.

AR01 is due every year, normally made up to the anniversary of the date of incorporation and must be filed within, iirc, 21 days of that date.

AA02 is also due every year, made up to the company's accounting reference date, which is normally the last day of the month of incorporation, and is filed within 9 months of the year end. AA02 can only be used if the company is dormant by the Companies House definition - and that's different from HMRC's definition

AR01 completed with a made up date of 21/08/12 and filed by 11/09/12. There is a fee of £14 if you file online or £40 for a paper return.

AA02 completed for the period ended 31/08/12 and filed by 21/05/13. No fee is payable but if you are late the penalties start at £150 - even you haven't traded - and rack up for further delays

Hi David, thanks for your prompt reply it was very useful but I would just like to simplify it and see if i've understood it properly.

    Example Company:
    #################
Company Registered with companies house 21 August 2011
    Has a Share capital of £100 with 100 x £1
Has no transactions either incoming or outgoing for the forseeable future

As a Dormant Company I must send to Companies House every year
    #################
Abbreviated balance sheet and notes signed by MD
Statement saying the company was dormant and had no trade signed by MD
Dormant Company Accounts (DCA) - AA02

As a Dormant Company I must send to HMRC every year
    #################
Form Ct41G(Dormant Company Insert) - Do I send this only once or every year?
Corporation Tax Return if asked for it.
