Company Formation Documentation

I have used an online agent to form a company last week. I usually do my own but this particular one only cost just over the actual fee itself.

They forwarded me

Memo and Arts in electronic format
Certificate of Incorporation in electronic format

Great I thought this is everything I need. However, they are now sending me emails saying that this company cannot trade until it receives other documenation which they will provide at a cost.

In my mind and having set up companies before my understanding was that an electronic copy is fine if the company has been set up in that way. Also what other documention is actually required by the companies act?

Again I have set up a register of members, directors etc.

The frustrating thing is that I am reasonably confident I have everything I need and that the agent may be ripping off its customers with scaremongering tactics.

I'd be interested in peoples thoughts on this.

Send a mail back to them to act what documents they are talking about and how the company is prevented from trading?

Have you checked the co house record?

I assume you have all of this lodged at co house (where applicable)


  • Application to register a company (Form IN01) and the fee (see question 14);
  • Memorandum of Association; (see question 6)
  • Articles of Association (except where you adopt model articles in their entirety (see question 7);
  • Additional information if your application includes a prescribed or sensitive word or expression. (see chapter 3)
Would love to know what else they think is needed.

It sounds like you have everything you need.

We send out electronic copies of the incorporation certificate, mem + arts and company register. By the sounds of it you have all of these documents so it doesn't seem like you need anything else.

Like elainec100 said, ask them exactly what they think you still require and see what they say.

Thanks guys just for confirming what I have thought.

I have asked what documentation they mean and the legal elements to which they are referring and they actually won't give an answer other than 'you need them to be legally trading'. Very generic and obviously don't know their stuff.

James, I may use you next time!!
