Closing non-trading company

I registered a company in May of 2011 with intent to start trading almost immediately. However due to circumstances I was offered a position elsewhere in another organisation which I took. My company is therefore registered with Companies House, and it's status is active, however I wish to wind this up.

There have been no transactions whatsoever that the company has participated in, and I want to know the necessary steps to wind this up, including with regard to any accounts.

All advice appreciated.

You can have the company struck-off at Companies House - have a read here it should be just what you need.

I am comfortable with the procedure for striking off the company voluntarily.

However, from an accounts perspective, surely HMRC will object to me striking off the company without having submitted any accounts, even though the Corporation Tax accounting period hasn't yet come to an end.

Is there any specific form I need to fill in to send to them, giving notification that the company wasn't trading and effectively had a turnover of nil; and is there any specific form to send to HMRC notifying them that I am striking the company off?

Did you send HMRC a form CT41G (dormant) advising them the company was dormant?

Assuming this is the case it would be extremely unusual for them to object in the circumstances.

You will be sent a reminder for filing tax, you send it back saying you haven't traded and want to close the company. The forms will come back in a couple of days, all directors sign and you return it with £10. Job done, company struck off. Or do it online at companies house.
