My company ceased trading 31.1.25 which coincided with the companies end of year accounting period for 2024-25. HMRC were notified that the company ceased trading from 31.1.25 and they confirmed the company now regarded as dormant 12.2.25.

Final annual accounts & ct600 for year to 31.1.25 2024-25 submitted to Companies House and HMRC Feb 25 on line.

I wish to close the Company but am struggling with the process.

The accounting software that I use, Freeagent produces end of year Final accounts but cannot produce online ‘cessation accounts’ and so I cannot submit online other than Final accounts.

HMRC guidance requires for solvent companies to submit online but I can’t. Can anyone help here with the process. The company has not traded since 31.1.25.

Also Companies House appears not to have a method ‘sic code’ for registering the Company dormant.

Does the end of year accounts for 2024-25 count as cessation accounts even though they were submitted as Final and what do I need to do to satisfy HMRC & Companies House so that I can dissolve the Company? Thanks for your attention in advance.
 
If you want to close the company, then you might be able to use the DS01 procedure of strike off if you satisfy all its conditions.

FreeAgent is good but does have its limitations for year end accounts and tax returns.

Did you deal with any balancing charges or allowances due on the CT return to the date trading ceased?

Balancing charges and allowances accounted for in CT600 submission for year end to 31.1.25

In that case you've completed the cessation accounts so if you are able to use the Companies House striking-off option I'd look at that. Make sure you follow the guidance and notify all parties necessary.

Yes make it clear to HMRC that the company ceased trading on 31/1/25 and has had no income or gains since 31/1/25 (assuming that's correct) and that the accounts and tax return already submitted were the final accounts.

Do also read the guidance on the link above and make sure you send a copy of the DS01 to HMRC.
