Hi all,

Just looking to check the meaning of a clause in a contract if anyone can help:

"The term of the Agreement shall continue in effect until terminated by either party without cause effective as of the End Date stated on the then current Schedule A provided that written notice of such intention to terminate shall be given to the other party at least thirty (30) days prior to the End Date (31st March 2019)."

Does this mean:

a) The contract can be cancelled (and terminated) at any time proving done 30 days before 31/3/19 (end date in Schedule A).

b) The contract will carry on past end date unless terminated 30 days prior to 31/3/19 (but, importantly, will carry on until end date rather than cease immediately)

I do wish these were in plain English!

Thanks.

It means:-

Either party can terminate the agreement which is due to expire in any event on the end date in Schedule A but in order to do so, written notice must be provided at least 30 days prior to the 31st March 2019 -

So to terminate, you must give written notice before 1st March 2019.
