Changes to existing contracts

Good morning

Hope everything is well

Quick question re contracting in a service focused business. When a client wants to add a new service line to their package of services, how is this best handled? I assume editing existing contract and issuing for re-signing?

It largely depends what your existing contract says in respect of variation. A well drafted contract would include a schedule listing services available and/or a clear clause outlining how services can be retained etc. Alternatively, more simple contracts may allow for parties to simply sign an undertaking (making clear reference to existing contract) to add additional services along with any additional terms and conditions, such as costs, etc.

I agree with bwg. Look at your existing terms. There may be something about services being added later, sometimes there is a master agreement with specific services schedules or Statements of Work and you just keep issuing new ones under the existing contract and mention on the new schedule or SOW what the new services are.

If the new service line is very different eg legal services added to window cleaning then there may be specific things relating to the new services that are not in the relevant contract however so just check the original terms to see if they are appropriate for those services.
The variation clause probably says how changes can be made too in most contracts- usually be agreement in writing signed by both parties so a simple one page signed variation/amendment/letter can refer to the original contract and say what is now added and any other changes.
