Hello,

I was wondering about this

I am currently getting an agreement drawn up for a product. The suppliers website says that they are developer and market their product. Does this also mean they are manufacturers?

They have said they have a manufacturer in the Far East. It was always my understanding that when an inventor brings a product to market and patents it and then locates a manufacturer, then they own manufacturing rights and their company becomes the manufacturer (without owning the factory and manufacturing company) is that right?

As the manufacturer in the Far East I imagine they make loads of products for all sorts of companies.

So to word the agreement right. Should I say the the company is the said products manufacturer and markets the said product?

the developer/supplier may well be the manufacturer but more likely use a manufacturer to make their product under an exclusivity contract.
They may use terms such as 'our manufacturing proccess' 'manufactured at our dedicated factory' etc.
your contract agreement will be for supply of goods not manufacture/supply of goods.

Many thanks for your reply I am going over all the legal ramifications I want to make sure this is as closed of a contract as it can be, I would like to state whether they are the manufacturer or not as then they could wiggle out of the exclusivity agreement by just getting their manufacturer to contact my retailers direct. Which is if I can mention in the agreement that they are the manufacturer as well then that would give me some ground. What do you suggest?
