Hi

I registered my company as "Protech Computer Solutions" as a ltd company. As the accountant that I registered this name with, has gone AWOL, before I had a chance to get the company registered under my details, for corporation Tax.

i was wondering, from a legal and copywriting point of view, I would like to register another limited company, this time, naming it "Protech Computer Services", as a LTd company.

As the names are so similiar, would this have any legal or copy right problems, say incase, my old accountant turns up and he wants to sue me just for the hell of it?!?!?

I would say that you would have nothing to worry about as:

a) There is already a Protech Computer Systems and your proposed name is no more similar than that one;

b) The formation officers (presumably your accountant) resigned from your company on 24 April so would have no right to challenge your new company now anyway.

Otherwise, provided they left you with countersigned blank forms 288a before they went AWOL, you could always simply become director of the original company (it currently has no officers so Companies House may commence striking off action soon?)

Complete one 288a to appoint yourself as Director and the other to appoint a Company Secretary.

You may also need to change the Registered Office. If so, you can download the form from Companies House or you may have one already in the formation pack. The company is currently registered to a Tooting address, which may well be yours, but as there are 38 separate Limited Companies registered there I suspect that it is your old accountants' and should therefore be relocated.

Hi

I sent off my 288a form, for my company, and filled out my Address details on it, about 2 weeks ago. I have recently checked online, on the Companies House website, and the address details are still my old accountants address details.

How long do these things take to change?

Should I just contact Copanies House directly and find out why it hasnt changed yet?

    Companies House usually run around 2 weeks behind in dealing with post. When you have updated your registered office address I would recommend looking into Webfiling or Efiling (the latter I can help you with). Forms filed through these methods usually get dealt with the same day.
