id love some some advice on how to incorporate my 'soon to be started' online retail business in the US. its a confusing area for me , what with all the differant state laws and fee's etc--i just want to sell to the US market from my site, but most of the suppliers i want to deal with will only work with american companies , so incorporating as a US company is a way around this. the whole subject of getting incorporated as a US company confuses the life out of me ,as the americans use so many differant terms for things .I basically want to keep the products i sell from american suppliers for the american market only (to avoid/cut down on shipping confusion&costs)and the products from british/european suppliers to the british/european market! if anyone could help me find out what i need to be to be recognized legally in the states ,business wise, with a mail address and whatever else id need to trade in the states, i would be eternally gratefull!! thanks- i would add that i have no experiance whatsoever with trading online at all and im just planning to set up a business when i feel that ive done the needed groundwork..

Many businesses, regardless of where they are actually located, register as a U.S. corporation in the State of Delaware, which has various advantages:

1. Only one incorporator is required. A corporation may be the incorporator.
2. There is no minimum capital requirement.
3. The franchise tax compares favorably with that of other states.
4. For companies doing business outside of Delaware, there is no corporation income tax.
5. Delaware has no sales tax, personal property tax or intangible property tax on corporations.
6. No taxation upon shares of stock held by non-residents and no inheritance tax upon non-resident holders.
7. A corporation may keep all of its books and records outside of Delaware.
8. You may have a principal place of business/address outside of the State of Delaware as well.

Is there any particular area of the USA which is more relevant to you than others? - I can potentially recommend attorneys in several areas.

I also know a local export consultant who has expertise in advising firms wishing to do business abroad.

(Our business is worldwide as we have clients in four continents for whom we work in 77 countries.)
