NDA the wrong way round?

Further to discussions with a major enterprise we have been presented with a Non Disclosure Agreement for signing.

My understanding is that a company submits an NDA to protect their interests and that if I share similar concerns would have my own NDA produced. Or we produce one that works for both parties.

In this case, and i've read it half a dozen times, it appears that the agreement could have been written by our solicitors as it looks to be weighted in our favour.

On a specific point and of considerable concern it states that either party can simply terminate the agreement in writing. Except as otherwise provided in the agreement.
I can find no other exceptions.

I guess I need a speedy overview of this agreement so any forum members offering this service please send me a PM.

    The one we use is exactly the same for both sides, basically don't share any info if it wasn't already common knowledge.
