Dissolve company and rerstart in England?

All the shareholders agree to dissolving the company?
Well 2 of us are thinking this - just as an option in case things turn messy - we asked the third director to resign and relinquish shares on account of their no compliance and bringing nothing to the table but they declined stating they would like to see what we have built before they would decide.

    I assume you don't have a shareholders' agreement?
    Why do you think the third director will agree to dissolution?

    Their shares are worth whatever you will buy them for. They don't have to relinquish shares. They can if they wish resign from being a director and keep the shares. For life or until the business is dissolved. What is the shareholding? Equal shares?



    If they bring nothing to the table then why give them shares and a directors position in the first place?

    Hello again - can I dissolve my non trading company which is registered in scotland and then register it in England (thereby removing a non compliant director). Sounds a bit sneaky but can it be done?

    If the name of the company is important to you I would suggest changing the name of the current company first leaving the present name free to re-register and do that before dissolving it

    You could apply to have the company struck-off if the application can be signed by the majority of directors. I would only do this if the company has no assets. You can then register a new company in England if you have a registered office in England.
