Hi,
I would appoint another director. If it's necessary for me not to work in NewCo at all, then I could comply with that in order to remove the conflict.
Thanks all for the advice, If I resigned my directorship in NewCo until my issues in OldCo is resolved, does that work to remove the conflict, I would still be 50/50 shareholder in OldCo and 100% in NewCo.
Thank you Mr D.
I have been advised by a lawyer to resign at some stage, so that seems to be inevitable. My nervousness is that I will lose control of the bank account (dual authorisation) and my business partner can then do pretty much what he likes with the money. We have no shareholder...
Thanks Cyndy, are there any circumstances or form of words that can be agreed in these situations? My current business partner proposed that I setup on my own as part of our discussions on moving things forward. If things do become acrimonious, can i resolving it by simply resigning my...

Hi, thanks all for the replies. I wouldn't seek to transfer any of the current contracts, NewCo would start with new business sales only. I would like to continue in my role in OldCo to ensure those contracts are properly serviced and staff treated fairly while seeking to agree terms of the sale...

I am a 50/50 owner of a business that provides a Service. It has recurring revenues. My partner no longer wishes to play an active role due to other interests. Can I start another business and sell exactly the same Service and be employed by both businesses?
Hi, if i have a home worker (defined in contract) how often can I reasonably require them to come to the office? if they don't have a suitable car, can i require them to use public transport.
