    Selling shares to employees

I'm the sole shareholder of a UK Ltd and looking to raise some capital through selling shares, and before I seek external funding, I'm thinking of offering a deal to our employees. I've been reading about employee share schemes and have seen that there are several different schemes that offer...

    Statutory Dismissal and Grievance Procedures

Are there statutory procedures that a company can refer to in their Statements of Employment - or is it advisable to have a custom procedure in place? I'm wondering if it's a bad idea to have something like: Dismissal and Grievance Procedures It is company policy to abide by statutory...

    Appointing a new director

Thanks for the replies. I'm actually slightly confused about the job title, Managing Director. It seems to not actually have an official definition in the UK. Can someone be Managing Director and responsible for managing the day to day running of a company and not actually be an official...

    Appointing a new director

Hi, If it is decided at a Board of Directors meeting that there is to be a change in the management of the company - specifically appointing of a new Managing Director, and also a change of an existing executive Director to a non-executive role, once the changes have been agreed and documented...

True. I thought it was worth posting in case anyone had any advice though....as an addition to professional help rather than a replacement for it.

    Opening a service subsidiary abroad

Hi, We're considering making changes to our UK Ltd and wondered if anyone had any advice about the route we're currently thinking to take. The plan is that the UK Ltd will found a German GmbH and that the GmbH will provide services to the Ltd (with an "arm's length" relationship). The UK Ltd...

    Having a EULA written

I should mention that the EULA needs to be written to be valid under UK law, so it's a UK lawyer we're looking for. Thanks.

    Having a EULA written

Hi, We need to get a EULA for users of our web service and wondered if anyone has any advice on this. We have written an outline of what needs to be in the contract, which we basically need converting to a good legal document. Are there lawyers that deal specifically with this kind of thing...

    Accounting in multiple currencies

Thanks for your replies. MrSpreasheet - are you saying I will need the exchange rate on the date of each transaction, and that I can't use the monthly official rates found on HMRC for all transactions in that month?

    Accounting in multiple currencies

Sorry for the cross-post (I posted this in the General Business forum and was advised to post it in this one instead). We've just opened a euro bank account and, having only had to do accounting in pounds up until now, I'm a little unsure about how I should be managing our books. I generally...

    Accounting in multiple currencies

We've just opened a euro bank account and, having only had to do accounting in pounds up until now, I'm a little unsure about how I should be managing our books. A friend told me the other day that the government publishes an official monthly exchange rate and that it's as simple as converting...

making someone redundant because of language

Learning a language takes years though; it's not like sending someone on an excell course or something (though maybe it is the same, legally speaking).

making someone redundant because of language

I agree it's not very nice. That sort of thing never is. We're currently unable to offer support to about a third of our client base in their native language though (and that wasn't the case when this person started) and I'm aware that it would add a good amount of value to our service.
