I think this is a prime example of trial by forum. You have a poster that is not 100% clued up. A bookkeeper who has presumably made a simple error and tried to rectify it on the quiet and forum members conjuring up every scenario in the book making the bookkeeper the next Bernard Madeoff...
If it's I.T professionals you're recruiting I would suggest a darkened room - in my experience they don't function well in natural light.

Perhaps they should have inserted a clause stating you need permission to breathe.
Just because something is written it doesn't make it legally binding. I would think that an employer stating you need their permission to become a director of a non related business would be considered...
Just because your business is online it doesn't mean your marketing must be as well.
Think about the type of customers that would use your service and avoid canabalising customers that already shop with you.
