Hi I am buying shares in a company which already has £75,000 share capital of £1.00 each.
I am putting in £15,000 and in return getting 30% of the company.
Firstly is it just the SH01 I need to fill in
or
do I first need to increase the company share capital to £90,000 using form G123...
For our business we take our suppliers out for dinner. We our out regularly with them.
I understand this is dis allowable for tax calculation but is it a benefit in kind for myself as director or just a disallowable expense that the company can pay for?
Also if there is alcohol on the bill...
OK thanks.
Just to clarify I am not paying any VAT on my first year goods. So all input and output vat has not been deducted from sales.
The only input VAT I am recovering is the stock value at the date of VAT registration on 1st December 2011. Year end is 30th November 2011.
In my first year I was not vat registered.
I registered for VAT on my 1st day of year 2.
So on my accounts do I put my stock at valuation including vat or excluding?

I have a business contract signed by my sister (partner in business) which we are disputing as the service has not been delivered. In short we were promised exclusivity on an advert and are not put with competitors. We have no proof as it was verbally promised. Our competitors were also shocked...
Thank you or the replies.
I will look into the route of voluntary striking off.
If I employ someone to do this for me what kind of fees would I be looking at? Including advising on best method.
I have a company that has lost around £10,000 in the last 2 years. I thought company accounts had been filed but it appears not. Accountant did them and we signed them off but they did not get filed due to a date discrepancy. Accountant says they told us this but there seems to be some confusion...
