Change shareholding at companies house

    IT appears i made a little mistake incorporating and the shareholding is wrong on Companies house.

    Can i change this via their website?

    What do you need to change - the amount of shares or the shareholders?

    The amount. I'm the only shareholder and I've just been speaking to the bank and he has told me that the number of shares I have doesn't equal the total shares.

    Yes you can change it online. If you need to allot more shares you will need to complete online SH01 Return of Allotment of Shares.

    I dont' think i have made a mistake ? I was told i had by the bank guy.


    I read this as 15,000 shares @ 0.01 each which means £150 pound value?

    Correct me if I'm wrong please.

    Yes, the capital of the company is £150 made up of 15,000 ordinary shares carrying a nominal value of £.01 each. And you owe the company £150.

    "number of shares I have doesn't equal the total shares" What does this mean?

    Also remember the bank robots don't understand much about company laws etc. Often any robot you speak to will have a 'manager' up the food chain s/he would want to speak to before giving you a clear answer!!!

    what this means is, he's looked number of shares and thinks value of nominal shares should equal total number of shares and doesn't realise that it refers to the value in currency.

    Yes the issued share capital is 15000 shares but did you allocate 15000 to yourself when filling out the Shareholders section of the form?- this is where you have to list the shareholders names and no of shares held.

    But I think the OP set up the company with 15k shares rather than making an allocation after incorporation.
