Hi,
I have a Private Ltd company and want t sell some of the shares to my mother. (the are no shareholders agreements that prevent this) could some one please tell me how i go about doing this.

If there are already other existing shareholders in the company then check the articles of association - they may have 'pre-emption rights' that mean that you must first offer the shares to the other shareholders first.
If not then (a) complete a stock transfer form. There should be some available from any online stationers. It's a 2 page document in a standard format. It's easy enough to fill in - name of company, name of transferor, name of transferee, number of shares, price per share, total.
(b) If the value of the transfer is more than £1,000 then you have to pay stamp duty on the form at 0.5% of the total amount rounded up to the nearest whole £5. YOu have to send the original form and a cheque to the relevant stamp office.
(c) Only when the form comes back from the stamp office can you then write it up in the register of members and register of transfers in the company's statutory books. This is when legal title transfers.
(d) Good practice would be to pass a board resolution approving the transfer.
(e) The old share certificate is returned by you to the company. Say you had 100 shares and transferred 30. The company issues you with a new certificate for 70 shares and your mum with a new certificate for 30 shares.
