Two Ltd companies - Revert into One? or sole trader

Hi

I have 2 ltd companies. 1 is a retail business which turns over around 300k per annum is doing very well. The other is a web based business that has hardly traded. Ideally i would like to move the later away from the Ltd structure and either set up as sole trader or bring it into the first ltd company.

The later has about £2k loss for the first year due to very little income but expense going out. Can i purchase the "assets" of the later ltd company with the first at a price that would offset this loss, i.e make use of if (tax wise i mean)

With the later ltd company it is the first years trading and no accounts have been made up yet, what is the best way to proceed should i have the accounts drawn up then disolve the ltd company?
 
Strath, you have asked a complex set of questions there, and they would be better put to specialists. I seriously suggest you ask the moderators to move this thread to the "Legal" or even to the "Accounts and Finance" section of the forum, and to delete this post while they are at it.

Or consult a solicitor/lawyer/accountant. As the saying goes you get what you pay for so if you dont pay anything u might get false information.

Marginal, LASS. £2K losses to offset? It will cost a high proportion of that to get good qualified advice. If there is sensible input on such issues here, better to get it then get pro advice on a refined set of queries. In fact, if the OP can narrow it down, they can probably find out all they want to know by asking HMRC and Companies House directly. Their quality of advice these days is very good.

Yeh ok i should of put another / in there saying /other professional advice. What i was saying it would be better to speak to someone who you can properly explain the business/situation etc to.
