URGENT ADVICE on limited company required

Hey all, I have been a lurker on this forum for some time, gaining advice by viewing. Nevertheless, I have a specific urgent question that I would really appreciate your wisdom on.

I am trying to ascertain whether it is possible to set up a limited company which has 50,000 shareholders and the invite for people to become a part of this company takes places online, in the media etc. I have spoke to companies house this morning who have stated that it is possible to have shares of 50,000 in a limited company.

However, I wondered whether anyone could give advice on the following:

1) Administration wise: would each shareholder be required to recieve a paper copy of the share certificate? Would regular shareholders meetings be required to take place.

2) As shares would be offered in the public domain would some form of prospectus be required?

3) Are there any other draw backs to such a limited company? Or anything else that I should be aware of?

Basically, I want to know whether this is possible, legally. I must highlight that initially people will not be required to pay up front but merely register their interest.

I would be grateful for any advice, this is urgent.

If you’re looking to offer shares to the public then it sounds as if you-re looking to form a public limited company (a plc). Generally a prospectus will be required but there are exemptions to this requirement, e.g. if the offering is to less than 100 people, if the shares are employee shares, bonus issue or stock dividends.

Obviously, in the interest of investor protection, public companies are subject to greater restrictions and an increased administrative burden when compared to private companies.

Companies House has some guidance but to be honest you need to get proper professional advice for something like this.
