LTD Company question

Hello All

I run a small PC Repair company as a sole trader and obviosuly have to buy computer bits and have to pay VAT.

I dont earn over the VAT thershold but am thinking of volunteering for VAT registion. So that I can buy computer bits and not have to pay VAT.

The only catch I can see at the moment is i dont currently have to charge my customers VAT by law would i have to if i registred for VAT?

Yes you would have to charge your customers VAT if you registered. If you are dealing predominantly with VAT registered businesses, then it might be in your interest to register. However, if you are dealing mainly with consumers and unregistered traders then VAT registration would probably cost you money.

Ok thanks I have one my question if I may I want to register my company as a LTD but as a dormant company its just so I can register my company name as a trade mark as people are starting to use my companys name.

Could someone reccomend a company I could use to register with?

Hi Paul

If you just want to register a company you'll find many online sites that you could use, alternatively many accountants (myself included) will do it for you.

If you use an accountant they will generally offer more support and help which you may find useful, but they wont be as cheap as many of the online formation agents. If all you want is a company set up you'll find companies online which will do it for about £25.

You dont actually register the company as dormant - it will be dormant if it doesnt trade and as such you can take advantage of the dormant company filing requirements. Have a look at Companies House website if you want to deal with this or again an accountant can do this for you.

I would suggest a look in the legal forum for advice on trade marks and other people using your business name!

A single class registration on the IPO site is £200 (and £50 for each additional class)

You can file yourself, however if IPO rejects your application you have lost £200 (plus however many additional classes).

There are some sites that charge a 'research / processing' fee. They would argue that they use trained trade mark attorneys to make online as well as manual searches for existing marks to make sure yours is viable.

You would probably pay £400 to £500 for such a service (including the actual reg fee).

Forget legal action for passing off under common law, unless you have several thousand pounds spare you can risk?

However, if you do nothing the other person may register the name as a trade mark and could force you to change your company name claiming you have infringed their newly registered mark.
