hi, Im currently in the process of making my company a limited company, and hope to sign up a US resident as a director as well as a UK resident. As far as i can find out thats not a problem, but Im wondering if anyone knows if by signing up a US citizen to my UK company what rights he now has to work in this country? and vice versa if a UK citizen is signed up as a director of a US company?

Isn't there also the issue of being subject to US commertial law if he's 'operating' in the US. I'm no expert but I doubt the imigration people on either side of the pond would fall for this otherwise it would be an open door to anyone from anywhere to do anything.

Well, I would hope the authorities wouldn't fall for it anyway.

If you are going to issue shares to the US citizen do take legal advice. When I took my company public on AIM we were specifically prohibited from selling shares to US citizens. I'm not qualified to give you advice on the do's and don’ts of having an American on the share register but if it was deemed a potential no no for a plc it may have implications for you to.
