Hello - can anyone tell me if there are legal requirements that should be in the Exec Directors contract regarding long-term illness / maternity leave?

I'm trying to find out if there are things that can't be done if the Exec isnt' there for board meetings etc. Any help would be great as the Companies Act doesn't cover this.

I think you will find its up to you what you write in the company minutes as to what minimum number of people can make up a directors and or shareholders meeting or any people who must be present for a specific type of meeting

you would have to consider the other side effects that any such limitations may have if say the chairman was involved in long term illness or simular absence from their duties
