Dividend Waiver - Unauthorised??

I am minority shareholder in property investment company. Recently discovered that the Directors have issued dividends to themselves and one other shareholder over several tax years but not to the remaining ordinary shareholders who each have a equal minority share. The Co. has evidenced a 'dividend waiver document' signed by both directors, acknowledging and approval this action!

I can find nothing on HMRC web site about this type of action. Please help any advice appreciated. Obviously, I am fully aware one can choose to waiver one's own Divs BUt this is not what has happened here.
