Hi Everyone,

I am looking into starting my own business. It will be a web based recruitment site within what I consider to be a niche market.

I would appreciate your feedback on any of the following!

1- Firstly what are your thoughts on the following:

My plan is to find two people like myself that want to be involved in running their own business, but do not have any real financial backing (1 with recruitment experience and 1 with web design skills). As these people will be involved in the business almost from the start I am planning a share in the company split 40%, 30%, 30% with me being the majority share holder. The only initial investment from these people will be their skills, ideas and spare time. It will not be necessary to give up their current job. These will not be paid positions, but obviously when the company takes off they will be entitled to 30%.

2 – What is the best way to protect myself and the company as far as finding the right people is concerned (is an NDA sufficient) and then when I have selected the right people? (Getting the right contract agreement)

3- What steps are necessary in order to start this type of business and what order should they be done?

4 – Couple of other questions

- How do I “create” a company?
- Is it necessary to register the company with anyone and if so who.
- Business plans?
- When we start making money what do I do about tax if we are still working in our current jobs?

Its not such a niche market as you may think. I know its no refelection without searching but Google just threw up 538,000 results for online recruitment agencies.

Perhaps consider specialised employment sector recruitment.

If you do decide to proceed with your idea any accountant can/should be able to deal with all of this for you:)

When you are ready to get started, you will probably want to register the company. You can do so online very easily through our sister company Companies Made Simple (www.companiesmadesimple.com). They offer many packages starting from only £24.99.

The default share capital is 1000 £1 shares, so you can already at this point issue yourself with the total percentage you want to hold.
I would be nervous about offering these two other people 30% each. One of them could sell their shares to the other and become the majority shareholder.
